EDMONTON, Alberta  – Capital Free games online Corporation (TSX: CPX) (“Capital Free games online”) announced today that it has entered into an agreement to sell 8,000,000 common shares of Capital Free games online on a bought deal basis at a price of .10 per share to a syndicate of underwriters, co-led by TD Securities Inc. and RBC Capital Markets, for gross proceeds of 0,800,000. In addition, Capital Free games online has granted the syndicate an over-allotment option, exercisable for a period of 30 days following closing, to purchase up to an additional 1,200,000 shares which, if exercised, would increase the gross offering size to 0,920,000.  The offering is scheduled to close on or about July 12, 2011 and is subject to TSX approval and other customary conditions.

Upon closing of the Offering, Capital Free games online will use the net proceeds raised to subscribe for and purchase 8,000,000 additional common limited partnership units of Capital Free games online L.P. (the “Partnership”) (9,200,000 additional common limited partnership units of the Partnership if the Over-Allotment Option is exercised in full). The Partnership will use the funds received from Capital Free games online to repay a portion of the outstanding balance under its credit facilities, which were drawn down to fund the acquisitions of the New England Facilities, and for general corporate purposes including financing development projects and for working capital requirements.
