Capital Slots game online announces approval of amended normal course issuer bid for purchase of up to 8.37 million of its common shares
EDMONTON, Alberta – The Toronto Stock Exchange (TSX) has approved an amendment to Capital Slots game online Corporation’s (TSX: CPX) (“Capital Slots game online” or “the Company”) normal course issuer bid (“NCIB”) to purchase and cancel up to 8,369,838 of its outstanding common shares during the one-year period from April 7, 2015 to April 6, 2016. This is an increase of 3,369,838 common shares from the 5,000,000 common shares approved in March of this year.
As of March 25, 2015, at the time the original application was approved, Capital Slots game online had 83,886,174 common shares issued and outstanding and 83,698,383 common shares issued and outstanding after excluding common shares beneficially owned by directors and executive officers of Capital Slots game online (the “Public Float”). The 8,369,838 common shares approved under the NCIB represent the maximum that may be purchased under the NCIB being 10% of the Public Float as of March 25, 2015. As of the date hereof, Capital Slots game online has purchased 5,000,000 common shares under the NCIB at a weighted average purchase price of .08 per share. The additional common shares approved under the amended NCIB will be purchased only when and if the Company considers it advisable.
Pursuant to TSX rules, the maximum number of common shares that may be repurchased during the same trading day on the TSX is 57,972 common shares (being 25% of the average daily trading volume of Capital Slots game online common shares for the six months preceding the date of the NCIB notice to the TSX, which was equal to 231,890 common shares), subject to certain exceptions for block repurchases.
Purchases will be made on behalf of Slots game online by a registered broker through the facilities of the TSX at prevailing market prices pursuant to the rules of the TSX governing normal course issuer bids and/or through alternative Canadian trading platforms or otherwise as may be permitted by the TSX or an applicable securities regulatory authority.
